Terms of Service
Effective [EFFECTIVE DATE] · [COMPANY LEGAL NAME]
These Terms apply to businesses and their staff who use WispSide to take appointments and orders, accept payments and manage their work. Please read them carefully, together with our Privacy Policy.
1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between [COMPANY LEGAL NAME] (“we”, “us”) and the business that creates a WispSide account (“you”). By creating an account, starting a trial or using WispSide, you agree to these Terms and to our Privacy Policy.
You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms for a business or other organisation, you confirm that you have authority to bind it.
2. The service
WispSide lets businesses publish booking and ordering pages, manage appointments, orders, services, staff, working hours and tasks, collect payments from their customers, send confirmations and reminders, and connect AI assistants. Features differ by plan and may change over time.
3. Accounts and staff
- Keep your sign-in details secure and give us accurate, up-to-date information.
- The account owner may invite staff and decide what they can see and do. You are responsible for everything done under your account, by you, your staff or an AI assistant you connect, and for removing access when someone should no longer have it.
- Tell us promptly at [CONTACT EMAIL] if you believe your account has been accessed without permission.
4. Subscriptions, trials and billing
- WispSide is offered on paid subscription plans, billed monthly or yearly in advance. Prices, limits and features are shown on our pricing page and at checkout.
- Free trial. We may offer a free trial for a limited period, once per business. A payment method is required to start it. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period, and your payment method is charged, until you cancel.
- Cancelling. You can cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period and you keep access until then.
- Changing plans. When you change plan or billing cycle, the price, timing and any credit or extra charge are shown before you confirm.
- Failed payments. If a payment fails, we may retry it and may suspend access to paid features until it succeeds.
- Fees are non-refundable except where these Terms say otherwise or the law requires a refund. Prices exclude taxes unless stated; you are responsible for applicable taxes.
- We may change prices with at least 30 days’ notice. New prices apply from your next billing period.
5. Payments from your customers
To take payments from your customers you connect a Stripe account. Payments are processed by Stripe, and you must accept Stripe’s terms, including the Stripe Connected Account Agreement. Any platform fee is shown to you before it applies.
You are solely responsible for the services and goods you sell, their prices and descriptions, delivery, taxes, receipts, cancellations, refunds, chargebacks and customer complaints. We are not a party to the transaction between you and your customer.
6. Your customers and their information
When your customers book or order through WispSide, you decide what information is collected and how it is used, and we process it on your behalf to provide the service, as described in our Privacy Policy. You agree to:
- collect and use customer information lawfully and only for running your business;
- give your customers any privacy notice the law requires, and answer their requests about their information;
- have any consent the law requires before we send emails or text messages to your customers on your behalf, and honour opt-outs;
- not collect sensitive information (such as health or financial details) through WispSide unless the law allows it and you have any required consent.
7. Acceptable use
You must not use WispSide to:
- break any law, or sell goods or services that are illegal or prohibited by our payment providers;
- send spam or messages people have not agreed to receive;
- upload malware, or try to access accounts, data or systems you are not authorised to access;
- interfere with, overload or reverse-engineer the service, or scrape it except through features we provide;
- infringe anyone’s intellectual property, privacy or other rights, or mislead your customers.
We may suspend or remove content or access that breaks these rules.
8. AI assistants and integrations
You can connect AI assistants and other third-party tools to WispSide. A connected tool acts with the permissions of the person who connected it, and actions it takes — such as booking, rescheduling or updating orders — are treated as actions taken on your account. Third-party tools are governed by their own terms; we are not responsible for how they work. You can disconnect them at any time.
9. Your content and our property
You keep ownership of the content and data you put into WispSide, including your business details, services and customer records. You give us permission to host, process and display it only as needed to provide and support the service.
WispSide, including its software, design and brand, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use it while your subscription is active. Suggestions you send us may be used freely.
10. Availability and changes
We work to keep WispSide available and reliable, but it may sometimes be unavailable for maintenance or for reasons outside our control. We may add, change or remove features; if we remove a core feature you pay for, we will give reasonable notice. Keep your own copies of information you must retain.
11. Suspension and termination
You may stop using WispSide and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, fail to pay, or if we must do so by law, giving notice where reasonable. After your account ends, your public booking pages stop working, and we delete or de-identify your information as described in our Privacy Policy. You can ask us for an export of your data before your account is closed.
12. Disclaimers
To the extent the law allows, WispSide is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose. We do not guarantee that bookings, reminders or messages will always be delivered, or that the service will be error-free. You remain responsible for running your business, including confirming important appointments and orders.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill, arising from your use of WispSide.
Our total liability for all claims relating to WispSide is limited to the amount you paid us for the service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You will defend and compensate us against claims, losses and costs brought by third parties — including your customers and staff — arising from your goods or services, your use of WispSide, your content, or your breach of these Terms or the law.
15. Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW]. Disputes will be heard by [COURTS / CITY], unless the law of your country gives you the right to bring a claim elsewhere. Please contact us first — most problems can be solved quickly that way.
16. Changes to these terms
We may update these Terms. For significant changes we will notify account owners by email or in the app at least 30 days before they take effect. If you keep using WispSide after that, the new Terms apply; if you do not agree, you can cancel before they take effect.
